Abstract

An independent director system has been a part of the Chinese corporate governance structure for more than a decade, but it fails to play its key role in monitoring because it is suffering a number of problems and obstacles. The current Chinese corporate governance reforms cannot be achieved without removing the weaknesses and defects in the existing independent director system.
